Terms of Service

1. Acceptance of Terms
By accessing or using ProHelp ("ProHelp", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the platform.
2. Description of Service
ProHelp is an online marketplace that connects customers seeking services ("Customers") with independent service professionals ("Pros").
ProHelp facilitates introductions and communication between Customers and Pros but is not a party to any agreement entered into between them.
ProHelp does not employ Pros. All Pros operate as independent contractors or business owners and are solely responsible for the services they provide.
3. User Accounts
To access certain features of the platform, you must create an account. By registering, you agree to:
- Provide accurate, complete, and current information
- Maintain the security of your account credentials
- Promptly update information if it changes
- Accept responsibility for all activity conducted under your account
ProHelp reserves the right to suspend or terminate accounts that violate these Terms or misuse the platform.
4. Platform Role, Verification & No Endorsement
ProHelp acts solely as an intermediary platform. We may:
- Facilitate connections between Customers and Pros
- Provide messaging and quote-request functionality
- Perform limited verification checks on Pros, including identity verification (FICA) and submission of certain business information, in order to display a Verified Pro badge
Such verification:
- Confirms the identity of the Pro and the submission of certain information
- Does not constitute vetting, endorsement, certification, or a guarantee of a Pro's qualifications, experience, pricing, conduct, or quality of work
All qualifications, experience, licenses, and credentials displayed on a Pro's profile are provided by the Pro themselves.
Customers remain solely responsible for reviewing Pro profiles, credentials, reviews, and quotes before accepting a quote or engaging a Pro.
5. Customer Responsibilities
As a Customer, you agree to:
- Provide accurate descriptions of the services required
- Communicate respectfully with Pros
- Pay Pros directly for services rendered
- Make your own decisions regarding engaging a Pro
- Not circumvent the platform to avoid fees for Pros you were introduced to via ProHelp
6. Pro Responsibilities
As a Pro, you agree to:
- Maintain accurate and up-to-date profile information
- Only offer services you are legally qualified and permitted to perform
- Respond to customer inquiries in a timely manner
- Deliver services professionally and in accordance with agreed quotes
- Comply with all applicable laws and regulations
- Maintain any required licenses, permits, or insurance
7. Payment Terms
Customers
ProHelp is free for Customers. All payments for services are arranged directly between Customers and Pros.
Pros
Pros may be required to pay a subscription fee to access the platform. Current pricing, trial offers, and subscription features are displayed on the ProHelp pricing page.
Subscriptions are billed on a recurring basis and require one (1) full calendar month's written notice to cancel. Cancellation will take effect at the end of the applicable notice period, and subscription fees remain payable during this time.
Subscriptions may be cancelled in accordance with the terms displayed at the time of purchase.
8. User Content
Users may upload or submit content, including images, photos, videos, reviews, comments, and business information ("User Content").
By submitting User Content, you confirm that:
- You own the content or have permission to use it
- The content does not infringe any third-party rights
All User Content is uploaded at the user's own risk. ProHelp accepts no responsibility for content uploaded without the consent of the original owner.
ProHelp reserves the right (but has no obligation) to remove or restrict any User Content that violates these Terms or is deemed inappropriate.
9. Prohibited Conduct
Users must not:
- Provide false or misleading information
- Harass, threaten, or abuse other users
- Circumvent the platform to avoid fees
- Use the platform for unlawful activities
- Attempt unauthorized access to the platform
- Violate any applicable laws or regulations
10. Intellectual Property
All platform content, excluding User Content, including logos, text, graphics, and software, is the property of ProHelp or its licensors and is protected by intellectual property laws.
You may not copy, reproduce, modify, or distribute platform content without prior written consent.
11. Limitation of Liability
To the fullest extent permitted by law, ProHelp is not responsible or liable for:
- The quality, safety, legality, or outcome of services provided by Pros
- Disputes between Customers and Pros
- Any damages, losses, or claims arising from use of the platform
- Acts or omissions of any user
12. Indemnification
You agree to indemnify and hold ProHelp harmless from any claims, losses, damages, or expenses (including legal fees) arising from:
- Your use of the platform
- Your User Content
- Your violation of these Terms or any third-party rights
13. Dispute Resolution
Any disputes arising from these Terms or use of the platform shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration in accordance with South African law.
14. Termination
ProHelp may suspend or terminate your account at any time for violation of these Terms or for misuse of the platform. You may close your account at any time.
15. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings shall be conducted in South African courts.
16. Changes to These Terms
We may update these Terms from time to time. Continued use of ProHelp after changes are posted constitutes acceptance of the updated Terms.
