The rules of the road

1. Acceptance of Terms

By accessing or using ProHelp ("ProHelp", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the platform.

2. Description of Service

ProHelp is an online marketplace that connects customers seeking services ("Customers") with independent service professionals ("Pros").

ProHelp facilitates introductions and communication between Customers and Pros but is not a party to any agreement entered into between them.

ProHelp does not employ Pros. All Pros operate as independent contractors or business owners and are solely responsible for the services they provide.

ProHelp also provides Pros with business tools, including quoting, invoicing, and payment facilitation. Quotes, invoices, and any resulting contracts are between the Customer and the Pro; ProHelp is not a party to them.

3. User Accounts

To access certain features of the platform, you must create an account. By registering, you agree to:

  • Provide accurate, complete, and current information
  • Maintain the security of your account credentials
  • Promptly update information if it changes
  • Accept responsibility for all activity conducted under your account

ProHelp reserves the right to suspend or terminate accounts that violate these Terms or misuse the platform.

4. Platform Role, Verification & No Endorsement

ProHelp acts solely as an intermediary platform. We may:

  • Facilitate connections between Customers and Pros
  • Provide messaging and quote-request functionality
  • Perform limited verification checks on Pros, including identity verification (FICA) and submission of certain business information, in order to display a Verified Pro badge
  • Provide access via our website and mobile applications

Such verification:

  • Confirms the identity of the Pro and the submission of certain information
  • Does not constitute vetting, endorsement, certification, or a guarantee of a Pro's qualifications, experience, pricing, conduct, or quality of work

All qualifications, experience, licenses, and credentials displayed on a Pro's profile are provided by the Pro themselves.

Customers remain solely responsible for reviewing Pro profiles, credentials, reviews, and quotes before accepting a quote or engaging a Pro.

5. Customer Responsibilities

As a Customer, you agree to:

  • Provide accurate descriptions of the services required
  • Communicate respectfully with Pros
  • Pay Pros directly for services rendered
  • Make your own decisions regarding engaging a Pro
  • Not circumvent the platform to avoid fees for Pros you were introduced to via ProHelp

6. Pro Responsibilities

As a Pro, you agree to:

  • Maintain accurate and up-to-date profile information
  • Only offer services you are legally qualified and permitted to perform
  • Respond to customer inquiries in a timely manner
  • Deliver services professionally and in accordance with agreed quotes
  • Comply with all applicable laws and regulations
  • Maintain any required licenses, permits, or insurance

7. Payment Terms

Customers

ProHelp is free for Customers. All payments for services are arranged directly between Customers and Pros.

Pros

Pros may be required to pay a subscription fee to access the platform. Current pricing, trial offers, and subscription features are displayed on the ProHelp pricing page.

Subscriptions are billed on a recurring basis. Pricing, free trials, billing, and cancellation for Pro subscriptions are governed by Section 8 (Pro Subscriptions, Free Trial & Billing).

8. Pro Subscriptions, Free Trial & Billing

Pros subscribe to ProHelp on a monthly or yearly plan. Founding Pros pay R299 per month (regular price R499 per month), locked in for as long as their subscription remains active.

Free trial. Every new Pro receives a free trial of at least 3 months. While ProHelp is in its growth phase, we extend this trial automatically, free of charge. Your subscription only becomes billable once both of the following are true:

  • Your first 3 months on the platform have passed; and
  • You have received at least 5 quote opportunities through ProHelp, or you have sent at least 5 quotes and/or invoices using ProHelp's tools.

30 days' notice. When your subscription becomes billable, we will notify you by email at least 30 days before your first charge. No payment card is required, and no charge is made, before this notice period ends. If you choose not to subscribe, your listing is paused after the notice period — you will never be charged without having added a payment method and accepted a billing mandate.

Billing. Payments are processed by Paystack. By subscribing you authorise ProHelp to charge your card on a recurring basis per the mandate you accept at checkout. You may cancel at any time from your subscription settings; your access continues to the end of the paid period. Fees are non-refundable except where required by law.

We may change subscription pricing on at least 30 days' written notice; locked-in Founding Pro pricing is honoured for as long as the subscription remains active.

9. User Content

Users may upload or submit content, including images, photos, videos, reviews, comments, and business information ("User Content").

By submitting User Content, you confirm that:

  • You own the content or have permission to use it
  • The content does not infringe any third-party rights

All User Content is uploaded at the user's own risk. ProHelp accepts no responsibility for content uploaded without the consent of the original owner.

ProHelp reserves the right (but has no obligation) to remove or restrict any User Content that violates these Terms or is deemed inappropriate.

10. Prohibited Conduct

Users must not:

  • Provide false or misleading information
  • Harass, threaten, or abuse other users
  • Circumvent the platform to avoid fees
  • Use the platform for unlawful activities
  • Attempt unauthorized access to the platform
  • Violate any applicable laws or regulations

11. Intellectual Property

All platform content, excluding User Content, including logos, text, graphics, and software, is the property of ProHelp or its licensors and is protected by intellectual property laws.

You may not copy, reproduce, modify, or distribute platform content without prior written consent.

12. Limitation of Liability

To the fullest extent permitted by law, ProHelp is not responsible or liable for:

  • The quality, safety, legality, or outcome of services provided by Pros
  • Disputes between Customers and Pros
  • Any damages, losses, or claims arising from use of the platform
  • Acts or omissions of any user

13. Indemnification

You agree to indemnify and hold ProHelp harmless from any claims, losses, damages, or expenses (including legal fees) arising from:

  • Your use of the platform
  • Your User Content
  • Your violation of these Terms or any third-party rights

14. Dispute Resolution

Any disputes arising from these Terms or use of the platform shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration in accordance with South African law.

15. Termination

ProHelp may suspend or terminate your account at any time for violation of these Terms or for misuse of the platform. You may close your account at any time.

16. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any legal proceedings shall be conducted in South African courts.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of ProHelp after changes are posted constitutes acceptance of the updated Terms.
